Terms of service

These terms apply to every engagement. The quote for a specific engagement can add to them, and where the two differ, the accepted quote wins.

Who provides the services

Services on supremecyberpunk.com are provided by Kirill Rudan, a sole proprietor based in Sacramento, California, under the brand SUPREMECYBERPUNK. In these terms, "I" means Kirill Rudan and "you" means the client.

Quotes and scope

Every engagement starts with a written quote that sets out the scope, the deliverables, the price and the timeline. A quote is valid for 30 days unless it says otherwise. Work outside the quote is agreed in writing before it starts, together with any change to the price or the timeline.

Accepting a quote

You accept a quote by signing it electronically through the e-signature service I provide, or by confirming it in writing by email. An electronic signature has the same effect as a handwritten one.

Prices and payment

Prices are in US dollars and do not include any taxes that apply. Payment is through a Stripe invoice or an agreed Stripe payment link. The invoice or checkout states the amount, any applicable taxes and when payment is due. A quote may require part of the price to be paid before work starts. Payment details are entered on Stripe's own pages and processed by Stripe, which is certified to PCI DSS Level 1. Card and bank account numbers never reach this site, full card numbers never reach me, and I ask for bank details only for a refund Stripe cannot make itself.

Monthly website maintenance

If the agreed website package includes maintenance, its monthly subscription is a required part of that package. The payment page and Stripe checkout show the one-time price, the first monthly charge, the total due initially and the recurring amount. The subscription starts with that payment and renews automatically each month without a scheduled end until canceled. Maintenance covers the agreed website support and publication of agreed posts; additional work is agreed separately. You authorize Stripe to charge the selected payment method for these renewals. Cancel renewal by emailing the contact address before the next charge. Service continues until the end of the paid period. Cancellation does not remove your ownership of paid deliverables.

What the work needs from you

You provide the access, information and feedback the work depends on, in time, and you confirm you have the right to share any data you give me. Delays on your side can move the timeline.

Health information

I do not accept protected health information (PHI) unless we have first signed a separate business associate agreement. Please do not send patient data through the forms on this site; anything of that kind received without such an agreement is deleted.

Sanctions and export rules

I do not provide services where US sanctions or export rules prohibit them, including to anyone located in, or acting for parties in, comprehensively sanctioned countries and regions. This includes IT consultancy and design services to persons located in Russia.

Ownership

Once you have paid for them, you own the deliverables made specifically for you. My pre-existing tools, code and know-how stay mine, and for the parts of them built into your deliverables you receive a perpetual, worldwide, royalty-free, non-exclusive license to use, copy, modify, maintain and distribute them as part of your deliverables, including through contractors working for you. Open-source components stay under their own licenses.

Confidentiality

Each of us keeps the other's non-public information confidential and uses it only for the work, during the engagement and after it. This does not cover information that is or becomes public through no fault of the receiving side, that it already had or develops independently, or that the law requires it to disclose. I may describe the work in my portfolio without naming you or revealing your confidential information, unless the quote says otherwise.

Defects

If delivered work does not do what its quote describes, tell me within 30 days of delivery and I will fix it at no charge, unless the problem comes from changes made after delivery by you or a third party, including changes to third-party systems or APIs, or from use the quote did not cover. Beyond that, and to the extent the law allows, work is provided as delivered, without other warranties.

Liability

To the extent the law allows, my total liability for an engagement is limited to the amount you paid under its quote, and neither of us is liable for indirect or consequential losses, including lost profits.

Ending an engagement

Either of us may end an engagement by written notice. What is then owed or refunded follows the refund and cancellation policy.

Governing law

These terms are governed by the laws of the State of California, and disputes are heard in the courts of Sacramento County, California.

Changes

I may update these terms. The version in force when you accept a quote is the one that applies to that engagement.
